Sprout Farms Terms and Conditions

Welcome to the Sprout Farms Ecommerce Shop. These terms and conditions (“Terms and Conditions”) govern your access to and use of the Sprout Farms Ecommerce Shop, which is owned and operated by Sprout Pediatrics LLC and Path of Life Nutrition (together, “Sprout Farms”, “we”, “us”, or “our”). By accessing or using the Sprout Farms Ecommerce Shop, you agree to be bound by these Terms and Conditions. If you do not agree to these Terms and Conditions, please do not use the Ecommerce Shop.

1. Products and Services The Sprout Farms Ecommerce Shop offers a variety of products and services for sale. By placing an order through the Ecommerce Shop, you represent that you are at least 18 years old or have permission from a parent or legal guardian, and that you are authorized to use the payment method provided. All purchases made through the Ecommerce Shop are subject to availability, and we reserve the right to limit the quantity of any product or service sold. We may also, in our sole discretion, refuse to sell a product or service to any person or entity for any reason.
2. Pricing and Payment All prices listed on the Ecommerce Shop are in US dollars and are subject to change without notice. We are not responsible for any errors or omissions in pricing or product information. Payment for orders placed through the Ecommerce Shop must be made by a valid credit card or Kinesis Pay. By providing your payment information, you authorize us to charge your payment method for the total amount of your order, including any applicable taxes and shipping charges. Kinesis KAU/KAG are privately issued bartering tools. Not US dollar legal tender.
3. Shipping and Delivery Sprout Farms does NOT ship or deliver produce products. All produce orders are for local pickup only. We will ship merchandise products to the shipping address provided during checkout. We are not responsible for any errors or delays in delivery caused by incorrect or incomplete shipping information. Delivery times may vary depending on your location and shipping method. We reserve the right to use our discretion to determine the best shipping method for your order.
4. Returns and Refunds If you are not satisfied with a produce product purchased through the Ecommerce Shop, please contact us within 24 hours of pickup to request a return or refund. All returned products must be in their original condition and packaging. We reserve the right to refuse any return or refund if the product has been used or damaged by the customer.
5. Intellectual Property The Sprout Farms Ecommerce Shop and all content, images, graphics, logos, and other materials displayed on or available through the Ecommerce Shop are the property of Sprout Farms, its licensors, or other third parties and are protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, modify, distribute, transmit, display, perform, publish, license, create derivative works from, transfer, or sell any of the content, images, graphics, logos, or other materials on the Ecommerce Shop without our prior written consent.
6. User Conduct You agree to use the Sprout Farms Ecommerce Shop only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else’s use and enjoyment of the Ecommerce Shop. You may not use the Ecommerce Shop in any manner that could damage, disable, overburden, or impair the Ecommerce Shop or interfere with any other party’s use and enjoyment of the Ecommerce Shop.
7. Disclaimer of Warranties The Sprout Farms Ecommerce Shop is provided on an “as is” and “as available” basis without any representation or warranty, express or implied, including, without limitation, any warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Ecommerce Shop will be uninterrupted or error-free, that defects will be corrected, or that the Ecommerce Shop or the server(s) that make it available are free of viruses or other harmful components.
8. Limitation of Liability In no event shall Sprout Farms or its affiliates, licensors, or service providers be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with the use or inability to use the Ecommerce Shop or any product or service purchased through the Ecommerce Shop, even if Sprout Farms has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.
9. Indemnification You agree to indemnify, defend, and hold harmless Sprout Farms and its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms and Conditions or your use of the Ecommerce Shop.
10. Governing Law and Jurisdiction These Terms and Conditions and any dispute arising out of or relating to them or the Ecommerce Shop shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflicts of law provisions. Any legal action or proceeding arising out of or relating to these Terms and Conditions or the Ecommerce Shop shall be brought exclusively in the state or federal courts located in Lexington County, South Carolina, and each party hereby consents to the jurisdiction and venue of such courts.
11. Changes to Terms and Conditions We reserve the right to update or modify these Terms and Conditions at any time without prior notice. Your continued use of the Ecommerce Shop after any such changes constitutes your acceptance of the new Terms and Conditions.
12. Entire Agreement These Terms and Conditions, together with the Privacy Policy, constitute the entire agreement between you and Sprout Farms with respect to your use of the Ecommerce Shop, and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and Sprout Farms.
